Regulation (EU) 2017/1129 sets prospectus requirements for public securities offers and admissions to trading on EU regulated markets, replacing Directive 2003/71/EC. It applies from 21 July 2019, with some provisions effective earlier. Exemptions cover offers to qualified investors, small offerings under EUR 12 million, and fungible securities under 30% thresholds.
